DoorDash Bids KSh 2.21T for Instacart: Grocery Delivery Consolidation Reaches Africa's Doorstep

Key Highlights

  • DoorDash will buy Instacart at $65 a share, valuing the grocery-delivery deal at about KSh 2.21T ($17B).
  • At least 75% of the price is payable in cash, with closing expected at the end of 2027 or early 2028.
  • Delivery platforms in Kenya and across Africa face a larger global rival set, though no African move has been announced.

DoorDash has agreed to acquire Instacart for $65 a share, a deal that values the grocery-delivery platform at about KSh 2.21T ($17B) in equity and marks one of the largest consolidations yet in on-demand delivery.

DoorDash Bids KSh 2.21T for Instacart: Grocery Delivery Consolidation Reaches Africa's Doorstep

DoorDash said in its filing with the US Securities and Exchange Commission on 29 October 2026, issued alongside its third-quarter results, that the price is a 26% premium to Instacart's closing price on 22 October, the last trading day before media reports of a possible deal.

Each Instacart share can be exchanged for KSh 8,434 ($65) in cash, 0.3372 DoorDash shares, or KSh 6,325 ($48.75) in cash plus 0.0843 DoorDash shares.

How the deal is built

At least 75% of the consideration will be paid in cash and up to 25% in DoorDash stock; if stock elections are oversubscribed, stock will be prorated. DoorDash plans to fund the cash from its own resources and debt, and JPMorgan Chase Bank has committed to a 364-day senior unsecured bridge loan. The deal has no financing condition, and DoorDash says it aims to keep its investment-grade ratings.

Instacart's board approved the agreement unanimously, and holders of about 19% of its shares have agreed to vote in favour. Closing needs Instacart shareholder approval, expiry of the US Hart-Scott-Rodino waiting period and other regulatory approvals, including in Canada and Israel. DoorDash expects the deal to close at the end of 2027 or in the first half of 2028.

Synergies and the integration plan

DoorDash sees a multi-year path to KSh 64.88B ($500M) or more in annual synergies, net of investments. It expects to reinvest more than 100% of those synergies in the first year after closing, with positive net synergies from the second year. The company cited its earlier Deliveroo acquisition as a comparable integration and named DashMart, its own grocery business, among the brands involved.

What it means for African platforms

No African market is named in the announcement, and DoorDash has not said it plans to expand on the continent. The relevance is competitive: delivery in Kenya and other African cities is still built on groceries, restaurant orders and subscriptions sold by regional and global players.

As Mwenendo earlier reported, Bolt launched Bolt Plus in Kenya with free delivery on eligible orders, showing how platforms are bundling delivery into subscriptions.

A larger, better-funded global rival in grocery delivery raises the bar for investment and technology, but it does not change conditions in African markets on its own. Local operators will be judged by how well they serve supermarkets and shoppers in cities where payments, addresses and rider costs differ sharply from the United States.

Conditions that could still change the outcome

The agreement remains subject to shareholder and regulatory approval, and the long timetable leaves room for revisions. Readers following the deal should note that the figures above come from DoorDash's own filing and that Instacart's side of the transaction will be set out in its own documents.
