Sanlam Allianz Kenya is preparing to remove a layer from its corporate structure by folding its life insurance subsidiary into the listed company that owns it.
In a cautionary announcement dated 15 October 2026, Sanlam Allianz Holdings (Kenya) PLC said it plans to take over the insurance portfolio, liabilities and fund administration operations of Sanlam Allianz Life Insurance (Kenya) Limited and then dissolve the subsidiary.
The holding company is listed on the Nairobi Securities Exchange, so the change would leave a listed company as the direct life insurer. Dollar figures here are converted at KSh 129.94 to the dollar.
What the subsidiary holds
The subsidiary reports assets of KSh 38.47B ($296.06M). Of that, KSh 33.10B ($254.73M) is government securities, about 86% of the total, so its asset base is dominated by government paper.
Insurance contract liabilities stand at KSh 31.83B ($244.96M), and total equity is KSh 4.51B ($34.71M). Those are the balances that would move to the parent if the transfer goes ahead.
Approvals and the vote on 12 November
Shareholders meet at an extraordinary general meeting on 12 November 2026 at 11:00 a.m. to vote on renaming the listed company Sanlam Allianz Life Insurance (Kenya) PLC and amending its Articles of Association. The company says the business transfer itself does not need a separate shareholder vote, but it does need approval from the Insurance Regulatory Authority and the Retirement Benefits Authority.
The company says the reorganisation will simplify its structure, improve operational efficiency and streamline regulatory oversight. It has not disclosed restructuring costs, expected savings or a completion date, so shareholders are being asked to approve the name change before those numbers are known.
As Mwenendo earlier reported, foreign investors net sold KSh 737M of Kenyan shares in a recent trading week, a reminder that corporate announcements land in a market where sentiment is already cautious.
Mwenendo earlier reported on how bad loans fell to 13.9% across Kenyan banks, part of a wider picture of balance sheet repair in the financial sector.
