OPay Files for New York Listing as Standard Bank Lines Up Investment
Key Highlights
- OPay’s October filing with the US Securities and Exchange Commission confirms a proposed New York listing and a concurrent investment agreement with Standard Bank Group’s Stanbic Africa Holdings.
- The filing caps the subscription at US$200M (about KSh 25.95B), the US-dollar equivalent of 0.98% of Standard Bank Group’s qualifying regulatory capital, or a share-based formula linked to the IPO price.
- The agreement is conditional on the IPO closing and regulatory approvals, while the prospectus says the parties’ earlier collaboration memorandum did not itself require either side to implement a project.
OPay has filed for a proposed listing on the New York Stock Exchange and disclosed a concurrent investment agreement with Stanbic Africa Holdings, a member of South Africa’s Standard Bank Group, in a registration statement filed with the US Securities and Exchange Commission on 9 October.
The filing says the investment will be completed alongside the initial public offering, subject to the offering closing and applicable regulatory approvals. The subscription price is capped at the lowest of US$200M (about KSh 25.95B), the US-dollar equivalent of 0.98% of Standard Bank Group’s qualifying regulatory capital excluding unappropriated profit, or a calculation based on 4.99% of OPay’s post-offering ordinary shares and the final IPO price.
The disclosure gives a clearer picture of the proposed investment than the earlier reports, which did not identify a figure. It is not a completed deal: the filing makes the subscription conditional on the IPO and required approvals.
What the filing confirms
OPay’s Form F-1 registration statement, filed on 9 October, says the company has applied to list American depositary shares on the New York Stock Exchange under the symbol OPAY. An American depositary share represents an interest in shares of a non-US company. The listing remains subject to final NYSE approval, and the preliminary prospectus says the offering price and number of shares remain to be determined.
The investor named in the filing is Stanbic Africa Holdings Limited, part of Standard Bank Group. The subscription agreement relates to ordinary shares and is expected to close concurrently with the IPO, if all conditions are met.
OPay’s prospectus also describes a memorandum of understanding signed on 14 August 2026 between OPay Digital Services and Stanbic Africa Holdings to explore possible cooperation in financial services and technology. The parties identified potential areas including digital banking, merchant acquiring, payments, lending and remittances. The memorandum of understanding itself did not require either side to implement a specific initiative.
Why the partnership matters
OPay operates a digital financial platform serving consumers and merchants, with payments and money-management services across its markets. The prospectus says the business had 50.1 million monthly active users as of 31 July 2026.
For Standard Bank, a partnership with a large digital platform could create a route to reach more consumers and merchants through technology-based services. For OPay, access to a banking group’s products, regulatory experience and infrastructure could support new financial products and expansion, depending on what definitive agreements are eventually signed.
The companies have not announced a guaranteed launch date for any new joint product in the filing. Any services emerging from the collaboration would require separate agreements and regulatory approvals where applicable.
Investors still face IPO conditions
The proposed offering is preliminary. OPay says the share price range has not yet been set in the filing and the offering cannot proceed until the registration statement becomes effective and the exchange approves the listing. Prospective investors should therefore treat the document as a proposed transaction, not a confirmed market debut.
The maximum US$200M (about KSh 25.95B) figure is a cap within a formula, not a confirmed cash investment amount. The final value could be lower depending on Standard Bank Group’s qualifying regulatory capital and the number and price of OPay shares after the offering.
