No Lamu Share Form Exists After Ruto Names the NSE

President William Ruto said in Kilifi on Tuesday that ordinary Kenyans would buy shares in the planned Lamu oil refinery through the Nairobi Securities Exchange. He said the government would take a stake and that small savers would be taught how to participate.

There is still no form. There is no price. There is no Capital Markets Authority prospectus for a Lamu issuer. Wednesday's groundbreaking does not create a ticker. A saver who pays anyone this week for "Lamu Dangote shares" is not buying through the exchange.

That is the money line. A promise at a title-deed rally is not an allotment.

What would have to exist first

An NSE offer needs a company, accounts, a CMA-approved prospectus, a price and a receiving bank. Kenya's 10 per cent slice in the Lamu plant has been talked about at about $500 million (about KSh 65 billion) as a state holding inside a 30 per cent East African package. That is a government negotiation with the sponsor. It is not a public sale. Rwanda and Ethiopia have been named as possible partners. None of that prints an application form.

Compare that with a real Kenyan process. Quickmart's planned offer at least published a structure and a portal. Lamu has not.

The offer that is actually open

Dangote Petroleum Refinery and Petrochemicals FZE, the Lagos plant, is selling up to 4.1 billion new shares at N525 each. The abridged prospectus is dated 7 September. The book opened on 14 September and closes on 13 October. Gross proceeds are put at N2.15 trillion for Lagos expansion.

Invest Kenya briefed East African institutions on that Nigerian paper this afternoon and mentioned a possible later cross-list. A cross-list of Lagos stock is not a Lamu IPO.

If a broker hands you a form, read the issuer. Lekki or Lagos means Nigeria, priced in naira. Lamu with a CMA number would be new. That number does not exist today.

What sits beside the speech

A Malindi court has a status-quo order on disputed land until 14 October. Dangote has said the ceremony can proceed even if some site work is slowed. The plant is still sized at 700,000 barrels a day against crude Kenya does not produce at that scale, as set out in Too Big for Turkana.

Ruto also used the Kilifi podium to warn "brokers" against blocking the project. Those remarks do not replace a prospectus.

Keep the cash in the bank until a CMA document names the issuer, the price and the window. A groundbreaking is a ceremony. A share is a filing.
